AGREEMENT

By submitting a purchase order or requesting a quotation, the Customer hereby acknowledges, agrees, and affirms that these Terms and Conditions of Sale (the "Terms") constitute a legally binding agreement. No modifications, amendments, or supplementary terms shall be applicable unless expressly set forth in a distinct written contract duly executed by both the Customer and ELEVATED HABITAT LLC ("Elevated Habitat"). The Customer further acknowledges that no employee, representative, or agent of Elevated Habitat possesses the authority to make any representation, warranty, or commitment concerning the goods or their sale, except as explicitly stipulated within these Terms.

PRICES & TAXES

Unless expressly stated otherwise in writing, all prices quoted by Elevated Habitat are provided on an Ex Works (EXW) basis. Unless explicitly stated in the quotation, all quoted prices shall remain valid for a period of thirty (30) days from the date of issuance, after which the quotation shall be subject to revision at the sole and absolute discretion of Elevated Habitat. Prices are exclusive of all applicable taxes, duties, or other charges, and the Customer shall bear full responsibility for the remittance of such taxes, irrespective of whether they are expressly listed on the invoice.

PAYMENT

All payments shall be remitted to Elevated Habitat in full, without deduction or set-off, except as expressly provided in these Terms, the applicable quotation, or any issued invoice. Unless otherwise expressly agreed upon in writing, payment must be made in full via ACH, check, or credit card prior to the shipment of goods. All payments shall be tendered in United States Dollars (USD) unless otherwise explicitly agreed upon in writing.

For Customers possessing an approved credit account with Elevated Habitat, invoices shall be settled in full within thirty (30) days from the invoice date unless otherwise agreed upon in writing. Elevated Habitat reserves the right, at its sole discretion, to require full or partial payment prior to shipment or delivery. In the event the Customer fails to render payment when due, Elevated Habitat may suspend further performance, and interest shall accrue on the outstanding balance at a rate of 1.5% per month (18% per annum) or the maximum lawful rate, whichever is lower, accruing from the due date until payment in full is received. In the event of non-payment, the Customer shall be liable for all legal fees and associated costs incurred by Elevated Habitat in enforcing payment obligations.

RISK & OWNERSHIP

Risk of loss or damage to the goods shall transfer to the Customer upon shipment or delivery to the designated freight forwarder, as stipulated in the quotation. Notwithstanding such transfer of risk, title to the goods shall remain vested in Elevated Habitat until full and final payment of all outstanding amounts due from the Customer to Elevated Habitat, regardless of the account under which they arise, has been received and cleared.

QUOTATIONS

Quotations issued by Elevated Habitat via email or other forms of communication shall expire thirty (30) days from the date of issuance and shall not be subject to acceptance beyond this period. This validity period shall remain enforceable irrespective of whether the Customer utilizes the quotation for job or project bidding purposes.

ORDER CANCELLATION, RETURN OF PRODUCT & SHIPMENT SHORTAGES

Once an order has been accepted by Elevated Habitat, the Customer shall have no right to cancel such order. Elevated Habitat, at its sole and absolute discretion, may permit an order to be canceled, provided that the Customer reimburses Elevated Habitat for all costs and expenses incurred in connection with the order. In the event of a partial cancellation approved by Elevated Habitat, Elevated Habitat reserves the right to adjust the unit pricing for the remaining quantity shipped, and the Customer shall be liable for any resulting price difference.

The Customer must obtain prior written authorization from Elevated Habitat before returning any products. Unauthorized returns will not be accepted. Any request for a return must include the original shipping or invoice number, date of purchase, item quantities, and item numbers. All return authorizations are conditional and subject to final approval upon receipt and inspection of the returned product by Elevated Habitat.

Upon approval of a return, a credit will be issued to the Customer’s account at the original purchase price, less applicable handling and transportation charges. Elevated Habitat does not provide cash refunds; all refunds shall be in the form of account credits. All product returns are subject to a restocking fee of up to twenty-five percent (25%) at Elevated Habitat’s sole and absolute discretion.

The Customer shall be responsible for all return shipping costs. In cases where Elevated Habitat arranges return shipping, the Customer agrees to pay the full cost of such shipping within fifteen (15) days from the invoice date, notwithstanding any prior or existing payment terms applicable to the Customer’s account.

INTERPRETATION RESPONSIBILITY

Where the Customer provides plans and specifications, it shall be the sole responsibility of the Customer to verify Elevated Habitat’s interpretations. Where substitutions are proposed by Elevated Habitat, it shall be the Customer’s obligation to ascertain their suitability and acceptability.

DELIVERY

Any warehouse shipping or delivery dates provided prior to actual shipment shall be estimates only and shall not be deemed as guarantees. Elevated Habitat shall not be held liable for any delays in the delivery of goods. Elevated Habitat shall endeavor, using all commercially reasonable efforts, to deliver goods within the agreed time frame, provided the Customer has furnished adequate lead time.

Upon receipt of goods, the Customer shall conduct a thorough inspection and provide written notification to Elevated Habitat of any damage or defect within seventy-two (72) hours of delivery. Failure to provide such notice within the stipulated time frame shall constitute conclusive acceptance of the goods. Should the Customer provide timely written notification, the Customer shall return the goods to Elevated Habitat within seven (7) days of the notice if so requested by Elevated Habitat.
